1. Agreement

By using https://proshotx.ai or any ProShotX applications and services (the “Services”), you agree to these Terms and our Privacy Policy.

2. Services

We provide sports training tools including video upload/hosting, AI-assisted shot/skill analysis, coaching notes, scorecards, and drills. Some features require an active subscription.

3. Plans, Caps & Billing

• Tip-Off (trial): 2 total uploads / 1 week.
• All-Star: 6 uploads / month.
• GOAT: 12 uploads / month.
• Plan caps are enforced and do not roll over. Subscriptions auto-renew until canceled.
• Manage/cancel anytime in the Stripe Customer Portal; cancellation stops future renewals. Unless required by law, fees are non-refundable.
• Taxes may apply. We may change pricing or plan features with notice.

4. User Content & License

You retain ownership of videos and other content you upload (“Athlete Content”). You grant ProShotX a worldwide, non-exclusive, royalty-free license to host, process, analyze, and display Athlete Content to you and your authorized viewers as needed to provide the Services and customer support.

5. Optional Model Training (Opt-In)

If you affirmatively opt in, you grant ProShotX a license to use de-identified derivatives of Athlete Content to improve models and features. You may withdraw consent at any time; we will stop future use. Previously trained model weights are not retroactively altered.

6. Health & Safety

Coaching notes, scorecards, and drills are for informational/athletic training purposes and are not medical advice. Warm up properly; discontinue drills that cause pain and consult a clinician as needed.

7. Acceptable Use

• No illegal, infringing, harmful, or abusive content or conduct.
• No attempts to bypass security, overload, scrape, or otherwise misuse the Services.
• Only upload content you have the right to use.

8. Third-Party Services

We use vendors to operate the Services (by example): Uploadcare (uploads), Vimeo (hosting/playback), Memberstack (authentication/membership), Stripe (billing), Zapier & Postmark (automation/communications), and Cloudflare (R2/Workers/CDN). Your use may be subject to their terms and policies.

9. Intellectual Property

The Services, software, analytics, scorecard formats, and trademarks are owned by ProShotX or its licensors. We grant you a revocable, non-transferable license to use the Services for personal training/coaching purposes.

10. Warranty Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROSHOTX SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS/DATA. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID TO PROSHOTX IN THE 12 MONTHS BEFORE THE CLAIM OR (B) $100.

12. Suspension & Termination

We may suspend or terminate access for suspected violations or risks to the Services. You may terminate anytime; Sections 4, 7–13 survive termination.

13. Youth Usage

Under-18 use requires verified parent/guardian consent. We do not knowingly collect personal information from children under 13 without verifiable parental consent.

14. Governing Law & Venue

Colorado law governs these Terms. Exclusive venue/jurisdiction lies in the state and federal courts located in Denver County, Colorado. No mandatory arbitration. Class-action waiver applies to the extent permitted by law.

15. Changes

We may update these Terms; material changes will be posted with a new effective date.
